By accessing and using WP Warden, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree, please do not use our service.
WP Warden provides a WordPress site management platform including features such as 1-click login, automated backups, plugin management, monitoring, and client reporting. Features available to you depend on your subscription plan.
Certain emails sent through the Service β client report emails β may include a small, invisible tracking image (“pixel”) that records when the recipient opens the email, along with a tracked link for report downloads. Every email that includes this tracking pixel also displays a visible, plain-language notice directly in the email body: “This email includes a small tracking image that lets us know when it’s been opened.” The pixel records only the open timestamp and open count β no IP address, device, or location data is collected. You can disable tracking on a per-email basis in the compose window (including for bulk sends), and reports scheduled without a tracking token are sent without a pixel and without the notice.
You, not WP Warden, control who these emails are sent to and why. As the sender, you are responsible for ensuring you have an appropriate legal basis (e.g. an existing service relationship, legitimate interest, or consent, as applicable in your and your recipients’ jurisdiction) to track opens on email sent to your clients or contacts, and for responding to any recipient who objects or asks about it. WP Warden provides the notice text and the opt-out control; it does not determine when tracking is lawful for your specific use, and is not a party to your relationship with your recipients. See Section 8 for the full allocation of responsibility for your use of the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
The Service is billed monthly by default at a flat rate of $3 per connected WordPress site β the same rate regardless of how many sites you manage, with no tiers or feature gates. Annual billing is available on some accounts; if it isn’t offered on yours, only the monthly cadence applies. Your bill adjusts automatically as you add or remove sites during a billing cycle. All fees are non-refundable except where required by law.
You may cancel your subscription at any time from Settings β Subscriptions. Cancellation stops future billing; you keep full access to your account for the remainder of the period you’ve already paid for. After that, if you haven’t resubscribed, your account enters a grace period (currently 30 days) rather than being cut off immediately: you keep full access to every feature, including exporting your data, with a reminder banner that you’re not on an active plan. If you remain unsubscribed through the entire grace period, your account and all its data are permanently deleted per Section 7 below.
Cancelling your subscription stops billing β it does not delete your data or restrict your access, for the reasons described in Section 6 above. Operational logs, alerts, and analytics snapshots are automatically pruned on a rolling schedule regardless of subscription status. To permanently delete your account and all associated data (sites, backups, clients, tickets, and logs) sooner than the grace period would, use the account deletion option in Settings, which requires password and account-name confirmation. WP Warden, a software-as-a-service product operated by PaxAgent LLC (“we,” “us,” “PaxAgent LLC”), provides you (“Client,” “you”) with software tools and visibility to manage, monitor, back up, and secure your own WordPress sites and your own relationships with your own end-clients. You, not WP Warden, control what you connect to the Service, what data you and your end-clients input, which features and integrations you enable, and how you act on the Service’s output β including any security findings, vulnerability alerts, or AI-assisted analysis, all of which are provided on a best-effort, advisory basis only and are not guaranteed to be complete, accurate, or free of error.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT EVERY SECURITY THREAT, PREVENT EVERY SITE COMPROMISE OR DATA LOSS, OR OPERATE UNINTERRUPTED OR ERROR-FREE.
You are solely responsible for: (a) your use of the Service and any decisions made based on it; (b) your relationship, agreements, and any disputes with your end-clients, including any obligations you owe them under GDPR or other applicable law; and (c) any content, data, or credentials you or your end-clients submit through the Service. WP Warden acts only as a tool provider and, with respect to data you store using the Service, as a processor acting on your instructions β never as a party to your relationship with your end-clients, and never as a controller of your end-clients’ data on their behalf.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PAXAGENT LLC, OR ITS OWNERS, MEMBERS, EMPLOYEES, CONTRACTORS, OR OTHER STAFF (COLLECTIVELY, THE “PAXAGENT PARTIES”), BE LIABLE TO YOU OR ANY THIRD PARTY β INCLUDING ANY OF YOUR END-CLIENTS β FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE, THIS AGREEMENT, OR YOUR OR YOUR END-CLIENTS’ USE OF THE SERVICE, REGARDLESS OF THE LEGAL THEORY ASSERTED (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE PAXAGENT PARTIES’ TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE, HOWEVER CAUSED, SHALL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID TO WP WARDEN FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT APPLIES CUMULATIVELY ACROSS ALL CLAIMS, WHETHER BY YOU OR ANYONE CLAIMING THROUGH YOU, INCLUDING YOUR END-CLIENTS.
You agree to defend, indemnify, and hold harmless the PaxAgent Parties from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms or any applicable law; (c) any content or data you or your end-clients submit through the Service; (d) any dispute, claim, or proceeding brought by, or on behalf of, one of your end-clients against WP Warden that arises from your relationship with that end-client or your use of the Service on their behalf, including any claim alleging that WP Warden owed a duty to that end-client; and (e) any third-party integration or credential you connect to your account. You may not be sued by your end-clients in a manner that makes WP Warden a party to that dispute without WP Warden being made whole by you under this indemnity.
